1. Agreement to Terms

By accessing or using Karaoke Your Way ("Service"), operated by WeServeAI ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

Karaoke Your Way is a karaoke event management platform operated by WeServeAI that allows organizers to create events, manage song libraries, and enable audience interaction. The Service is provided "as is" and "as available."

3. Subscription Plans and Pricing

3.1 Free Plan

We offer a free plan with limited features. Important: While we currently offer this plan at no charge, the plan name does not constitute a legally binding guarantee of perpetual free service. We reserve the right to:

• Modify, limit, or discontinue the free plan at any time
• Change pricing, features, or limitations of any plan
• Require payment for previously free features
• Transition free users to paid plans with appropriate notice

We will provide reasonable notice (typically 30 days) before making changes that materially affect free plan users. However, no rights, implied or explicit, are granted regarding the continuation of free service.

3.2 Paid Plans

Paid subscription plans (Starter, Pro, Enterprise) are billed on a recurring basis. By subscribing to a paid plan, you authorize us to charge your payment method at the start of each billing cycle.

3.3 Price Changes

We reserve the right to change our pricing at any time. For existing subscribers, we will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after the price change constitutes acceptance of the new pricing.

4. User Accounts and Responsibilities

4.1 Account Creation

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized access or security breach.

4.3 Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload or share content that is offensive, defamatory, or infringes on others' rights
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems (bots, scrapers) without permission
• Interfere with or disrupt the Service or servers
• Resell or redistribute the Service without authorization

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of content you upload (song libraries, event details, etc.). By uploading content, you grant us a worldwide, non-exclusive license to use, store, and display your content solely for providing the Service.

5.2 Our Intellectual Property

The Service, including its design, code, features, and functionality, is owned by Karaoke Your Way and protected by copyright, trademark, and other intellectual property laws.

5.3 Copyright Compliance

You are responsible for ensuring you have the right to use any songs, videos, or content you upload. We respect intellectual property rights and will respond to valid DMCA takedown notices.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

7. Termination

7.1 By You

You may terminate your account at any time through your account settings. Upon termination, your access to the Service will cease immediately.

7.2 By Us

We reserve the right to suspend or terminate your account at any time, with or without cause, including for violation of these Terms. We will make reasonable efforts to provide notice, but are not obligated to do so.

7.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our data retention policies. No refunds will be provided for partial billing periods.

8. Song Data and Content Accuracy

8.1 Source of Song Information

The song database, metadata, and associated links provided through Karaoke Your Way are aggregated from publicly available sources on the internet, including but not limited to YouTube, public song databases, and community contributions. This data is processed and organized to provide you with a comprehensive karaoke library.

8.2 No Guarantee of Accuracy

Due to the nature of internet-sourced data, we cannot guarantee the accuracy, completeness, or correctness of song information, including:

• Song titles, artist names, album information, or other metadata
• Karaoke links pointing to the correct song or version
• Availability or functionality of external links (YouTube, etc.)
• Quality or completeness of karaoke tracks
• Presence of vocals, instrumentals, or other audio characteristics

8.3 Community Improvement

We encourage and rely on our user community to help improve data quality. You can contribute by:

• Voting: Upvote or downvote song links to indicate quality and accuracy
• Reporting: Use the "Suggest" button to report incorrect information
• Contributing: Provide correct links for original songs and karaoke versions
• Feedback: Submit detailed feedback about data issues

All community suggestions are reviewed and evaluated before being incorporated into the database. We reserve the right to accept, reject, or modify any suggested changes at our sole discretion.

8.4 Limitation of Liability for Data Errors

YOU ACKNOWLEDGE AND AGREE THAT KARAOKE YOUR WAY, WESERVEAI, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE HELD LIABLE FOR ANY ERRORS, OMISSIONS, INACCURACIES, OR UNAVAILABILITY OF SONG DATA, METADATA, OR EXTERNAL LINKS. YOUR USE OF ANY SONG INFORMATION OR LINKS IS AT YOUR OWN RISK.

We make no representations or warranties regarding the accuracy, reliability, or availability of any song data or external content. We shall not be liable for any damages, losses, or expenses arising from:

• Incorrect song information or metadata
• Broken, incorrect, or inappropriate links
• Unavailability of external content (YouTube videos, etc.)
• Quality issues with karaoke tracks or recordings
• Any reliance on song data for events, performances, or other purposes

8.5 Third-Party Content

Links to external platforms (YouTube, Spotify, etc.) are provided for convenience only. We do not control, endorse, or assume responsibility for any third-party content. Your use of third-party platforms is subject to their respective terms of service and privacy policies.

9. Disclaimers and Limitations of Liability

9.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KARAOKE YOUR WAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

9.3 Service Availability

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any part of the Service at any time.

10. Indemnification

You agree to indemnify, defend, and hold harmless WeServeAI, Karaoke Your Way, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including copyright or privacy rights
• Content you upload or share through the Service

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration conducted in Fulton County, Georgia, or via online arbitration at the parties' mutual agreement, except that either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Karaoke Your Way regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
